Item 8.01 Other Events.


On November 3, 2014, the Chancery Court of the State of Delaware dismissed the shareholders’ derivative lawsuit of Mr. Patrick Spada and Higher Education Management Group, Inc. against Aspen Group, Inc. (the “Company”), certain members of the Company’s Board of Directors and former Chief Financial Officer (collectively, the “Defendants”).  The Court granted the Defendant’s Motion to Dismiss in its entirety.
