Item 8.01 Other Events

 

The Corporation is unable to meet the filing deadline for the filing of its Form 10-Q for the quarter ended January 31, 2020 due to circumstances related to COVID-19. Two of the Corporation’s subsidiaries are located in Shanghai and Hangzhou, China, respectively, and both of the offices our closed upon orders of the local governments. Employees are prohibited from going into work. In view of these circumstances, we are unable to provide our auditors and accountants with up to date financial records..

The Corporation is relying on SEC Release No. 34-88318 dated March 4, 2020 to delay the filing of its Form 10-Q for the quarter ended January 31, 2020 for an extension on the filing due date to 45 days after the original due date and will work diligently to comply with such requirements.
