On March 3, 2015, Mr. Barry Goldstein, a Class III director of the Company, informed the Company of his plan to retire from the Board of Directors at the end of his current term on June 10, 2015. Mr. Goldstein’s retirement from the Board is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
