Item 1.01 Entry into a Material Definitive Agreement.

On May 6, 2010, a wholly-owned subsidiary of Pebblebrook Hotel Trust (the "Company") entered into an agreement to acquire an upscale full-service hotel in the Washington D.C./Baltimore metropolitan area for $67.1 million. The Company will fund the purchase price from the proceeds of its initial public offering, which was completed in December 2009. The closing is expected to occur within 45 days, however, because the acquisition is subject to customary closing requirements and conditions, the Company can give no assurance that the transaction will be consummated during that time period, or at all.
