Item 8.01 Other Events.

Declaration of Dividend

On June 16, 2022, CBTX, Inc. (the “Company”) issued a press release announcing that its Board of Directors declared a quarterly cash dividend in the amount of $0.13 per share of common stock. The dividend will be payable on July 15, 2022 to shareholders of record as of the close of business on June 29, 2022. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference, including the cautionary language regarding forward-looking statements.

FDIC Approval of Merger Application

On June 16, 2022, the Company and Allegiance Bancshares, Inc. (“Allegiance”) issued a joint press release announcing receipt of regulatory approval from the Federal Deposit Insurance Corporation (“FDIC”) for the application filed with the FDIC with respect to the proposed merger of CommunityBank of Texas, N.A. and Allegiance Bank.  A copy of the press release is attached hereto as Exhibit 99.2 and incorporated herein by reference, including the cautionary language regarding forward-looking statements.
