Section 1 – Registrant’s Business and Operations

Item 1.01 Entry into a Material Definitive Agreement

On November 10, 2011, White Smile Global, Inc. (“the Company”), entered into a Distribution Agreement (the “Agreement”) with Institut de Saint Paul (Institut) (“distributor”).  Under the terms of the Agreement, Distributor shall serve as the Company’s exclusive distributor for the White Smile^TM products in the country of France.  The Agreement expires one year from the effective date, with the option to extend for an additional one year period at the end of any agreement period, and is terminable sooner by either party following breach of the Agreement or written notice, as described in the Agreement.  Products subject to the Agreement include White Smile “OTC” retail products, Solar Smile “refill” pen, and all marketing and sales material.
