Results of Operation and Financial Condition.

On August 14, 2023, PDS Biotechnology Corporation (the “Company”) issued a press release announcing its financial results as of and for the three and six months ended June 30, 2023 and provided an update on the business of the Company. The Company is furnishing a copy of the press release, which is attached hereto as Exhibit 99.1.
