	On April 21, 2010, Northwest Bancshares, Inc. issued an earnings release for the quarter March 31, 2010. A copy of the release is included as exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.

	The Annual Meeting of Shareholders was held on April 21, 2010. The matters listed below were submitted to a vote of the shareholders through the solicitation of proxies, and the proposals are described in detail in the Company’s Proxy Statement filed with the Securities and Exchange Commission on March 22, 2010.
