In connection with the previously-announced retirement of Joseph W. Wood, on March 4, 2010, the Compensation Committee of the Board of Directors of Brown Shoe Company, Inc. (“Company”) approved an additional bonus payment of $350,000 to Mr. Wood upon his retirement for Mr. Wood’s leadership during the transition of the Company’s Famous Footwear division from Madison to St. Louis and for other services performed during the leadership transition.  Mr. Wood plans to retire on July 2, 2010.
