Item 5.02.              Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On April 29, 2010, Cowen Group, Inc. (the “Company”) appointed Jeffrey M. Solomon Chief Operating Officer of the Company.  Mr. Solomon will continue to serve as Chairman of the Investment Committee.  Christopher A. White, the former Chief Operating Officer of the Company, was appointed Chief of Staff as of that date, replacing Marran H. Ogilvie, who will be leaving the Company to pursue other interests.  Each of Mr. Solomon’s and Mr. White’s compensatory arrangement remains the same following the appointments.
