On September 6, 2018, B. Riley Financial, Inc. (the “Company”) issued a press release announcing the commencement of its public offering of $50,000,000 aggregate principal amount of senior notes due 2023. The Company expects to grant the underwriters a 30-day option to purchase up to an additional $7,500,000 aggregate principal amount of senior notes in connection with the offering solely to cover overallotments. A copy of the press release is attached hereto as Exhibit 99.1.
In addition, in connection with the public offering, the Company will be making road show presentations to certain existing and potential securityholders of the Company. The road show materials are attached hereto as Exhibit 99.2.

Riley Financial Announces Offering of $50 Million Senior Notes Due 2023
and Receipt of Investment Grade Rating of “A-”

LOS ANGELES, CA – September 6, 2018 – B. Riley Financial, Inc. (NASDAQ: RILY) today announced that it has commenced an underwritten registered public offering of $50 million aggregate principal amount of senior notes due 2023, subject to market and certain other conditions. The Company expects to grant the underwriters a 30-day option to purchase additional senior notes in connection with the offering solely to cover overallotments. An investment grade rating of “A-” was affirmed for the Company and assigned to this issuance of notes by Egan-Jones Ratings Company, an independent, unaffiliated rating agency.
The Company expects to use the net proceeds of this offering for general corporate purposes.
B. Riley FBR, Janney Montgomery Scott, Ladenburg Thalmann and Incapital are acting as book-running managers for this offering. Wedbush Securities, William Blair and Tribal Capital Markets, LLC are acting as co-managers.
The notes will be offered under the Company’s shelf registration statement on Form S-3, which was declared effective by the Securities and Exchange Commission.
