Item 5.07.  Submission of Matters to a Vote of Security Holders
 
On June 16, 2010, PennyMac Mortgage Investment Trust (the “Company”) held its Annual Meeting of Shareholders (the “Meeting”) in Calabasas, California for the purpose of: (i) electing three (3) Class I trustees to serve on the board of trustees (the “Board”) until the 2013 Annual Meeting of Shareholders; and (ii) ratifying the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2010.  The total number of common shares entitled to vote at the Meeting was 16,735,317, of which 15,022,650 shares, or 89.77%, were present in person or by proxy.
 
The final voting results for each of the proposals submitted to a vote of shareholders at the Meeting are as follows:
 
 
Proposal 1.  The election of three Class I trustees to serve on the Board until the 2013 Annual Meeting of Shareholders.
