Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 
On September 11, 2009, in anticipation of its spinoff (the “Spin-Off”) from IDT Corporation (“IDT”), CTM Media Holdings, Inc. (the “Registrant”) filed a Second Restated Certificate of Incorporation (the “Restated Certificate”) with the Delaware Secretary of State.  The Restated Certificate effected a conversion and/or split of each share of the Registrant’s Class A common stock then outstanding into (i) 26,897.3233 shares of the Registrant’s Class A common stock, (ii) 72,221.7066 shares of the Registrant’s Class B common stock, and (c) 10,907.7566 shares of the Registrant’s Class C common stock.  Such conversion was necessary to consummate the distribution of the Registrant’s common stock to IDT stockholders in connection with the Spin-Off.
