Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

ChineseInvestors.com,, Inc. announces that the Compensation Committee of its Board of Directors has proposed and the Board of Directors has approved the grant of an aggregate of 1,340,000 shares of the Company’s Common Stock to the Company’s officers. Those grants of Common Stock are effective October 31, 2017. The Compensation Committee also recommended and the Board of Directors approved and directed that 660,000 shares of the Company’s Common Stock be reserved for grant to key employees at the discretion of the Company’s chief executive officer.
