Item 8.01 Other Events.

On August 2, 2012, we issued a press release announcing that Weatherford International Ltd., a Bermuda exempted company (“Weatherford Bermuda”), and Weatherford International, Inc., a Delaware corporation (“Weatherford Delaware”), both wholly owned subsidiaries of Weatherford International Ltd., a Swiss joint-stock company (NYSE and SIX: WFT), have each commenced solicitations of consents from the holders of senior notes issued under each of their respective indentures governing the notes. The consent solicitations request the holders of such notes extend certain Securities and Exchange Commission quarterly and other reporting requirements under the indentures.

A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
