EXPLANATORY NOTE

This Amendment No. 1 to the Current Report on Form 8-K/A (the “Amendment”) amends the Current Report on Form 8-K of OptimizeRx Corporation (the “Company”) for the date of report: November 14, 2012 (the “Original Filing”), that was originally filed with the U.S. Securities and Exchange Commission on November 14, 2012. The Amendment is being filed to correct the conference call dial-in information.
