Item 1.01 | Entry Into a Material Definitive Agreement |
On April 26, 2024, Hope Bancorp, Inc., a Delaware corporation (“Hope Bancorp”), and Territorial Bancorp Inc., a Maryland corporation (“Territorial Bancorp”), entered into an Agreement and Plan of Merger (the “Merger Agreement”). Pursuant to the terms and subject to the conditions set forth in the Merger Agreement, Territorial Bancorp will merge with and into Hope Bancorp, with Hope Bancorp as the surviving entity (the “Merger”), and following the Merger, Territorial Savings Bank, the wholly owned subsidiary of Territorial Bancorp, will merge with and into Bank of Hope, the wholly owned subsidiary of Hope Bancorp (the “Bank Merger” and, together with the Merger, the “Transaction”).
The Merger Agreement was unanimously approved by the Boards of Directors of each of Territorial Bancorp and Hope Bancorp. Subject to the fulfillment of customary closing conditions, certain of which are described below, the parties anticipate that the Transaction will close in the fourth quarter of 2024.
Upon the terms and conditions set forth in the Merger Agreement, at the effective time of the Merger (the “Effective Time”) each share of common stock, par value $0.01 per share, of Territorial Bancorp outstanding immediately prior to the Effective Time, other than certain shares held by Territorial Bancorp or Hope Bancorp, will be converted into the right to receive 0.8048 shares of common stock (the “Exchange Ratio”), par value $0.001 per share, of Hope Bancorp (“Hope Common Stock”). Holders of Hope Common Stock will receive cash in lieu of fractional shares (the Exchange Ratio and any cash in lieu of fractional shares collectively, the “Merger Consideration”).
The Merger Agreement contains customary representations and warranties from Territorial Bancorp and Hope Bancorp, and each party has agreed to customary covenants, including, among others, covenants relating to (1) the conduct of its business during the interim period between the execution of the Merger Agreement and the Effective Time, (2) in the case of Territorial Bancorp, its obligation to call a meeting of its stockholders to adopt the Merger Agreement, and, subject to certain exceptions, the obligation of its Board of Directors to recommend that its stockholders adopt the Merger Agreement and (3) in the case of Territorial Bancorp, certain non-solicitation obligations with respect to alternative business combination proposals.
The completion of the Merger is subject to customary closing conditions, including, (i) adoption and approval by Territorial Bancorp’s stockholders of the Merger Agreement, (ii) authorization for listing on the Nasdaq Stock Market of the shares of Hope Common Stock to be issued in the Merger, subject to official notice of issuance, (iii) the receipt of all required regulatory approvals, including, but not limited to, the approval of the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation, the Division of Financial Institutions, Department of Commerce and Consumer Affairs, State of Hawaii, and the California Department of Financial Protection and Innovation, without the imposition of a burdensome condition, (iv) the effectiveness of the registration statement on Form S-4 to be filed with the Securities and Exchange Commission (“SEC”) by Hope Bancorp in connection with the transactions contemplated by the Merger Agreement, and (v) the absence of any order, injunction, decree or other legal restraint preventing the completion of the Transactions or making them illegal. Each party’s obligation to complete the Merger is also subject to additional customary conditions, including (a) subject to certain exceptions, the accuracy of the representations and warranties of the other party, (b) the performance in all material respects by each party of its obligations under the Merger Agreement, and (c) receipt by such party of an opinion from its counsel to the effect that the Merger will qualify as a reorganization within the meaning of Section 368(a) of the Internal Revenue Code of 1986, as amended.
The Merger Agreement provides certain termination rights for both Territorial Bancorp and Hope Bancorp. The Merger Agreement can be terminated by mutual written consent, or by either party (1) if there is a final, non-appealable order, decree or ruling permanently enjoining or otherwise prohibiting the consummation of the Merger, (2) if the Merger has not been consummated by the one year anniversary of the Merger Agreement, subject to extension as set forth in the Merger Agreement, (3) if Territorial Bancorp’s stockholders fail to adopt and approve the Merger Agreement, or (4) if the other party has breached its representations, warranties or covenants in a way that prevents satisfaction of a closing condition, subject to a cure period. Additionally, Territorial Bancorp or Hope Bancorp may terminate the Merger Agreement if Territorial Bancorp’s board of directors changes its recommendation that its stockholders vote to adopt and approve the Merger Agreement.
The Merger Agreement further provides that a termination fee of $3.0 million will be payable by Territorial Bancorp in connection with the termination of the Merger Agreement under certain circumstances.
On April 26, 2024, in connection with the execution of the Merger Agreement, Hope Bancorp entered into a voting agreement (the “Voting Agreement”) with the directors and certain executive officers of Territorial Bancorp. The Voting Agreement provides, subject to the terms and conditions thereof, that each of the individuals who entered into the voting agreement, solely in their capacity as stockholders of Territorial Bancorp, will vote the Territorial Bancorp common shares she or he owns in favor of the adoption and approval of the Merger Agreement.
The foregoing summary of the Merger Agreement is not complete and is qualified in its entirety by reference to the full text of the Merger Agreement, which is attached as Exhibit 2.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
The representations, warranties and covenants of each party set forth in the Merger Agreement have been made only for the purposes of, and were and are solely for the benefit of the parties to, the Merger Agreement, may be subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made for the purposes of allocating contractual risk between Territorial Bancorp and Hope Bancorp instead of establishing these matters as facts, and may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors. Accordingly, the representations and warranties may not describe the actual state of affairs at the date they were made or at any other time, and investors should not rely on them as statements of fact. In addition, such representations and warranties (1) will not survive consummation of the Merger, and (2) were made only as of the date of the Merger Agreement or such other date as is specified in the Merger Agreement.
