Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 10, 2023, the Executive Committee (the “Committee”) of the Board of Directors (the “Board”) of Silver Star Properties REIT, Inc. (the “Company”), to which the Board has granted all of its decision-making authority, removed Allen Hartman as Executive Chairman of the Company and terminated the Agreement Between Hartman Short Term Income Properties XX, Inc. and Al Hartman (the “Hartman Agreement”). The Committee is investigating issues related to certain violations of fiduciary and other duties to the Company by Mr. Hartman. Mr. Hartman remains a director on the Company’s Board.
