ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

 

On May 15, 2014, Bluerock Residential Growth REIT, Inc., a Maryland corporation, or the Company, issued a press release announcing certain corporate updates regarding the Company and the Company’s financial results for the first quarter ended March 31, 2014, as filed on May 15, 2014 with the United States Securities and Exchange Commission, or the SEC, in its Quarterly Report on Form 10-Q for the quarter ended March 31, 2014. A copy of such press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein. In accordance with General Instruction B.2 of Form 8-K, the information in this Item 2.02 shall not be deemed to be “filed” for purposes of the Securities Exchange Act of 1934, as amended, or the Exchange Act, and shall not be incorporated by reference into any registration statement or other document filed under the Exchange Act or the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.

As disclosed above in Item 2.02 of this Current Report on Form 8-K, on May 15, 2014, the Company issued the press release attached hereto as Exhibit 99.1 announcing certain corporate updates regarding the Company and the Company’s financial results for the first quarter ended March 31, 2014.
