Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers Compensatory Arrangements of Certain Officers. 

On May 3, 2023 the Board of Directors unanimously voted and approved the termination of Michael R. Hawthorne, as the Chief Executive Officer and President of the Company.  Pursuant to the terms of Mr. Hawthorne’s Employment Agreement dated February 11, 2022, such termination shall be effective on May 13, 2023.  Further pursuant to the terms of the Employment Agreement, as of May 3, 2023, the Company suspended all duties and responsibilities of Mr. Hawthorne.
