Explanation of Responses:

1. On November 11,2020 Cell Science Holding Ltd., distributed the 210,000,000 shares of common stock, 120,000,000 shares to Inter-M Traders FZ LLE and 90,000,000 shares to Mentone Ltd.

2. Cell Science Holding Ltd., is the owner of 4 shares of Series A Preferred Stock. Cell Science is owned 40% by Inter-M Traders FZ LLE, 30% by the OZ Corporation and 30% by Mentone Ltd., all of whom are deemed to be the beneficial owners of the 4 shares of Series A Preferred Stock.
