State below in reasonable  detail the reasons why the Form 10-K and Form 10-KSB,
11-K, 20-F, 10-Q and Form 10-QSB,  N-SAR, or other transition  report or portion
thereof, could not be filed within the prescribed period.

The Company was unable to pay its auditor for their audit fees related to the
prior year and was unable to pay its transfer agent in order to confirm its
issued share capital for its auditor. Thus, the Company was unable to complete
its current quarterly report and file the periodic report in a timely manner
without unreasonable effort or expense. The Company expects to complete its
current quarterly report and to file within the extension period.
