On December 19, 2023, Invesco Mortgage Capital Inc. (the “Company”) issued a press release to provide certain preliminary financial information as of December 15, 2023, including updates on the Company's book value and portfolio. A copy of that press release is attached hereto as Exhibit 99.1 and, with respect to such preliminary financial information, is incorporated herein by reference.

Other Events.

On December 19, 2023, Invesco Mortgage Capital Inc. issued a press release announcing that its Board of Directors declared a cash dividend of $0.40 per share of common stock for the fourth quarter of 2023 on December 18, 2023. The Company also announced that its book value per common share as of December 15, 2023 is estimated to be in the range of $9.82 to $10.22(1). A copy of that press release is attached hereto as Exhibit 99.1 and, solely with respect to such dividend and book value information, is incorporated herein by reference.

(1) Book value per common share as of December 15, 2023 is adjusted to exclude a pro rata portion of the current quarter’s common stock dividend (which for purposes of this calculation is assumed to be the same as the previous quarter) and is calculated as total stockholders' equity less the liquidation preference of the Company's Series B Preferred Stock and Series C Preferred Stock ($109.7 million and $188.7 million, respectively), divided by total common shares outstanding of 48.5 million.
