In May 2010, the Registrant completed the acquisition of TV Goods Holding Corporation.  This transaction is being treated as a reverse merger with the Registrant as the legal surviving entity and TV Goods Holding Corporation as the accounting acquirer.  Given the nature of this transaction, the financial statements presented in the March 31, 2011 Annual Report on Form 10-K will be those of TV Goods Holding Corporation. as the accounting acquirer.  As of the filing of this report, the Registrant estimates that revenues for the year ended March 31, 2011 shall be approximately $1,350,000.  Registrant further estimates that loss from operations for the year ended March 31, 2011 shall be shall be approximately $4,900,000.
