Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On September 9, 2010, Mr. Fong Heung Sang (Dexter Fong) resigned from the Board of Directors of Rongfu Aquaculture, Inc. (the “Company”) for personal reasons.  The resignation was not the result of any disagreement between Mr. Fong and the Company on any matter relating to the Company’s operations, policies or practices.
