Explanation of Responses:
1. On August 3, 2023, the Reporting Person was granted restricted stock units ("RSUs") for 635.000 shares of KLA common stock. On August 3, 2024, twenty-five percent (25%) of the RSUs vested. Pursuant to the terms of the grant, shares of KLA common stock were automatically withheld at vesting to cover required tax withholding. The fair market value of KLA common stock used for purposes of calculating the number of shares to be withheld was the closing price of KLA common stock as reported on August 2, 2024.
2. The number of shares of KLA common stock includes 5,117.481 shares issuable upon vesting of RSUs.
3. On August 4, 2022, the Reporting Person was granted restricted stock units ("RSUs") for 894.000 shares of KLA common stock. On August 4, 2024, twenty-five percent (25%) of the RSUs vested. Pursuant to the terms of the grant, shares of KLA common stock were automatically withheld at vesting to cover required tax withholding. The fair market value of KLA common stock used for purposes of calculating the number of shares to be withheld was the closing price of KLA common stock as reported on August 2, 2024.
4. The number of shares of KLA common stock includes 4,893.481 shares issuable upon vesting of RSUs.
5. On August 5, 2021, the Reporting Person was granted restricted stock units ("RSUs") for 961.000 shares of KLA common stock. On August 5, 2024, twenty-five percent (25%) of the RSUs vested. Pursuant to the terms of the grant, shares of KLA common stock were automatically withheld at vesting to cover required tax withholding. The fair market value of KLA common stock used for purposes of calculating the number of shares to be withheld was the closing price of KLA common stock as reported on August 2, 2024.
6. The number of shares of KLA common stock includes 4,653.481 shares issuable upon vesting of RSUs.
7. On August 5, 2024, 50% of the performance-based restricted stock units granted on August 5, 2021 vested. Pursuant to the terms of the grant, shares of KLA common stock were automatically withheld to cover required tax withholding. The fair value of KLA common stock used for purposes of calculating the number of shares to be withheld was the closing price of KLA common stock as reported on August 2, 2024.
8. The number of shares of KLA common stock includes 3,931.981 shares issuable upon vesting of RSUs.
9. This sale was effected pursuant to the terms of a Rule 10b5-1 trading plan adopted by the Reporting Person on February 1, 2024.
