State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K,
10-Q, 10-D, N-SAR, N-CSR or the transition report or portion thereof, could not
be filed within the prescribed time period.

During the registrant's interim period ended December 31, 2007 certain
convertible debt instruments were extinguished and converted to shares of common
stock of the registrant. The registrant is still in the process of evaluating
the accounting treatments of these transactions to ensure that have been fully
considered and properly accounted for. As the registrant is continuing this
work, the registrant's interim report on Form 10-QSB cannot be filed within the
prescribed time period without undue hardship and expense.

The registrant's Interim Report on Form 10-QSB will be filed as soon as
practicable, and in no event later than the fifth (5th) calendar day following
the prescribed due date.
