Item 8.01 Other Events
On June 21, 2019 and on August 30, 2019, Bruce Bent, Chief Executive Officer, filed delinquent Form 4s detailing purchases and sales of the Company’s stock. Mr. Bent became aware of his short swing liability under Section 16(b) on June 14, 2019 and immediately disgorged the short swing profits of $178,394.24 to the Company as required. This value was calculated using the “lowest-in, highest out” method.
