EXPLANATORY NOTE
Emperial Americas, Inc has delayed filing its quarterly report on Form 10-Q for the quarterly period ended March 31, 2012. This delayed filing is due to the significant amount of resources dedicated to prepare and file our Quarterly Report after the merger of the two companies. Furthermore, the preparation of the financial information that needs to be presented in this Quarterly Report on Form 10-Q requires additional time to be reviewed by the auditor and additional time for the new resources in order to be completed.
