Item 7.01    Regulation FD Disclosure.

On August 18, 2009, the Company authorized the issuance of 10,062,500 shares of common stock for the conversion of a total of SEVENTY-EIGHT THOUSAND DOLLARS ($78,000) of debt due from the Company.  The debt was incurred prior to January 2009.  The shares were issued by the Transfer Agent of the Company on or about August 24, 2009.

Currently the Company has 191,259,350 shares of common stock issued and outstanding.
