Item 8.01               Other Events.

 

                On May 8, 2008, 1st Century Bancshares, Inc. (“Bancshares”), the holding company for 1st Century Bank, N.A. (the “Bank”), received notice from Mr. Marshall Geller, a director of Bancshares and the Bank, of his resignation as a member of  the Audit Committee of Bancshares, effective May 8, 2008.  Mr. Geller will continue to serve on the Board of Directors of Bancshares and the Bank.
