On May 24, 2024, Netcapital Inc. (the “Company”) issued a press release announcing its intention to complete a reverse stock special stockholder meeting to regain compliance with Nasdaq’s minimum bid price requirement. The text of the press release is furnished as Exhibit 99.1 to this current report.
