The combined Proxy Statement/Prospectus contained in this filing will be used in the solicitation of proxies of the shareholders of the Acquired Fund to approve an Agreement and Plan of Reorganization. A post-effective amendment to the Trust's registration statement on form N-1A was filed on June 1, 2009, in order to register the shares of the Aberdeen Emerging Markets Institutional Fund and is proposed to go effective on August 15, 2009. Pursuant to Rule 488 under the 1933 Act, the Trust hereby proposes that the Registration Statement become effective on August 30, 2009.
