Item 5.07.     Submission of Matters to a Vote of Security Holders.

The annual meeting of shareholders of MidWestOne Financial Group, Inc. ("the Company") was held on April 18, 2013. There were a total of 8,498,484 shares of common stock outstanding as of the record date for the annual meeting. Three proposals were presented to the shareholders. The results of the shareholder vote on each of the four proposals were as follows:

A proposal to elect four (4) Class III Directors of the Company; each director having a three-year term expiring in the year 2016.

On April 18, 2013, the Board of Directors of the Company declared a cash dividend of $0.125 per share payable on June 17, 2013 to shareholders of record as of the close of business on June 1, 2013. The press release is attached as Exhibit 99.1.

MIDWESTONE FINANCIAL GROUP DECLARES DIVIDEND

Iowa City (April 23, 2013) -- MidWestOne Financial Group, Inc. (NASDAQ: MOFG), parent company of MidWestOne Bank, today announced that the Company's Board of Directors has declared a second quarter cash dividend of $0.125 per common share, which is the same as the dividend paid last quarter. The dividend is payable June 17, 2013 to shareholders of record at the close of business on June 1, 2013. At this quarterly rate, the indicated annual cash dividend is equal to $0.50 per common share.
