Item 7.01. Regulation FD Disclosure
On August 28, 2024, at the 2024 annual meeting of stockholders (the “Annual Meeting”) of The Container Store Group, Inc. (the “Company”), the stockholders approved a reverse stock split of the Company’s common stock, par value $0.01 per share (“Common Stock”) at a ratio ranging from any whole number between 1-for-10 and 1-for-15, as determined by the Company’s Board of Directors (the “Board”) in its discretion. Following the Annual Meeting, the Board approved a 1-for-15 reverse stock split (the “Reverse Stock Split”) of the Company’s Common Stock.
The Reverse Stock Split is expected to become effective on September 3, 2024 at 5:00 p.m. ET (the “Effective Time”), with the Company’s Common Stock to begin trading on a split-adjusted basis at market open on September 4, 2024 under the existing symbol “TCS” and new CUSIP number 210751 202. In connection with the Reverse Stock Split, every fifteen shares of the Company’s Common Stock issued and outstanding as of the Effective Time will be automatically converted into one share of Common Stock. No fractional shares will be issued in connection with the Reverse Stock Split. Instead, each stockholder will be entitled to receive a cash payment in lieu thereof at a price equal to the fraction of one share to which the stockholder would otherwise be entitled multiplied by the closing price per share of Common Stock on the NYSE on September 3, 2024.
As a result of the Reverse Stock Split, proportionate adjustments will be made to the number of shares of Common Stock underlying the Company’s outstanding equity awards and the number of shares issuable under the Company’s equity incentive plans and existing agreements, as well as the exercise price, as applicable.
