Item 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 15, 2010, China Armco Metals, Inc. (the “Company”) issued a press release to announce its financial results for the nine month period ended September 30, 2010.  A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.
