Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 1, 2019, CorMedix Inc. (the “Company”) and Robert W. Cook, the Company’s Chief Financial Officer, mutually agreed upon the non-renewal of the Executive Employment Agreement, dated as of February 1, 2017, by and between the Company and Mr. Cook (the “Employment Agreement”). The term of Mr. Cook’s employment will cease on January 31, 2020.
The Company is conducting a search for Mr. Cook’s replacement.

On November 6, 2019, the Company issued a press release announcing the non-renewal of the Employment Agreement.

CorMedix Inc. Announces a Change to its Senior Leadership
Berkeley Heights, NJ — November 6, 2019 — CorMedix Inc. (NYSE American: CRMD), a biopharmaceutical company focused on developing and commercializing therapeutic products for the prevention and treatment of infectious and inflammatory disease, announced today that the Company and Robert Cook, the Chief Financial Officer of the Company, have mutually agreed not to renew his employment agreement, which expires on January 31, 2020. Mr. Cook will assist the Company in transitioning his responsibilities.

In parallel, CorMedix is leveraging its taurolidine technology to develop a pipeline of antimicrobial medical devices, with active programs in surgical sutures and meshes, and topical hydrogels.
