Item 2.06. Material Impairments

          On January 6, 2009, Ridgewood Energy W Fund, LLC (the “Fund”) was informed by LLOG Exploration Offshore, Inc., the operator, that the exploratory well being drilled on the Galveston 317 (“Bison Project”) lease block did not have commercially productive quantities of either gas or oil and has been determined to be an unsuccessful well, or dry hole. The Fund owns a 4% working interest in the Bison Project.

          As a result of the dry hole, the Fund incurred approximately $0.3 million of charges during the fourth quarter of 2008, with total estimated dry-hole costs approximating $0.4 million. The Fund does not expect this dry hole to result in any significant additional expenditures.
