State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

We determined that we were unable to file our Form 10-Q for the period ended September 30, 2008, by the November 14, 2008 deadline, as we have not yet completed the preparation of our financial statements due to our compliance efforts on the periodic filings of other partnerships managed by our Managing General Partner.  We expect to file by November 19, 2008.

There was no comparable activity for the corresponding period for the last fiscal year as operations did not commence until the fourth quarter of 2007.
