Item 8.01.

Other Events.

On February 18, 2020, Forestar Group Inc. issued a press release announcing that it has priced an offering of $300 million aggregate principal amount of 5.000% Senior Notes due 2028. The offering of senior notes is being made pursuant to an exemption from registration under the Securities Act of 1933, as amended, to certain institutional investors and is expected to close on February 25, 2020, subject to certain closing conditions. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
