The Form 10-K for the fiscal year ended December 31, 2012 will not be submitted by the deadline due to a situation where the workload exceeds available personnel.  We were not able to complete all of the financial information required to allow sufficient time for our independent auditors to be able to finalize their review and provide their consent by the filing deadline of April 1, 2013.

During the final quarter of the fiscal year ended December 31, 2012 the Comapny acquired a 100% working interest in 2,800 acres in the Cave Pool Unit and field, which contains approximately 40 wells, that have produced but are currently shut-in.   The Company acquired the working interest by way of the issuance of a total of 12,000,000 shares of hte Company's common stock in exchange for the working interest and certain equipment and facilities. The Company is continuing to evaluate the impact this acquisition will have on its financial reports, however, we expect to report significant changes to our results of operations, including a gain as a result of a bargain purchase of assets.  In addition the Comapny expects to report a significant decrease in professional fees over the comparative twelve months ended December 31, 2012 and 2011, as well as an increase in stock based compensation from Nil in the fiscal year ended December 31, 2011 as compared to $250,000 in the fiscal year ended December 31, 2012.
