Item 5.07   Submission of Matters to a Vote of Security Holders.
     Approach Resources Inc. (the “Company”) held its 2010 Annual Meeting of Stockholders (the “Annual Meeting”) on June 3, 2010. At the Annual Meeting, all matters voted upon were approved with the required votes. At the Annual Meeting, the Company’s stockholders were asked to (1) elect two Class III directors to serve on the Company’s Board of Directors for a term expiring at the Company’s 2013 Annual Meeting of Stockholders, and (2) ratify the appointment of Hein & Associates LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2010. Each of these items is more fully described in the Company’s proxy statement filed with the Securities and Exchange Commission on April 23, 2010.
     The certified results of the matters voted upon at the Annual Meeting are as follows:
