Item 3.02 - Unregistered Sales of Equity Securities
 
On June 13, 2016, Omnitek Engineering Corp. (the "Omnitek" or "Company") the Company sold 250,000 shares of its restricted common stock for cash to unrelated accredited investor at a price of $0.40 per share, which resulted in aggregate gross proceeds to Company of $100,000. No underwriters were used. The securities were sold pursuant to an exemption from registration provided by Section 4(2) of the Securities Act of 1933.
