Item 3.02 Unregistered Sales of Equity Securities

As previously disclosed, Evoke Pharma, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Craig-Hallum Capital Group LLC and Laidlaw & Company (UK) Ltd. ( the “Underwriters”), relating to the issuance and sale of 5,134,731 common stock units (the “Common Stock Units”) at a public offering price of $0.68 per Common Stock Unit and, to certain investors, 5,894,680 pre-funded warrant units (the “PFW Units”) at a public offering price of $0.6799 per PFW Unit (the “Offering”). Each Common Stock Unit consists of (i) one share of common stock, (ii) a Series A Warrant to purchase one share of common stock (the “Series A Warrant”), (iii) a Series B Warrant to purchase one share of common stock (the “Series B Warrant”), and (iv) a Series C Warrant to purchase one share of common stock (the “Series C Warrant”). Each PFW Unit consists of (i) a pre-funded warrant to purchase one share of common stock, (ii) a Series A Warrant, (iii) a Series B Warrant, and (iv) a Series C Warrant.

On February 13, 2024, in connection with the closing of the Offering, the Company issued to the Underwriters warrants to purchase up to 551,471 shares of common stock, equal to 5% of the securities sold in the Offering (the “Representatives’ Warrants”). The Representatives’ Warrants will be exercisable six months from the effective date of the Offering and will expire on February 13, 2029. The exercise price of the Representatives’ Warrants is $1.122 per share. The Representatives’ Warrants and the shares issuable upon exercise of the Representatives; Warrants will be issued in reliance on the exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended, as transactions not involving a public offering and in reliance on similar exemptions under applicable state laws.

The foregoing description of the Representatives’ Warrants is not complete and is qualified in its entirety by reference to the form of Representatives’ Warrant, a copy of which is filed as Exhibit 4.1 to this report and is incorporated by reference herein.

Item 8.01 Other Events

On February 14, 2024, the Company issued a press release announcing the closing of the Offering. The Company expects that, based on the Company’s current operating plan, the Company’s existing cash and cash equivalents, future cash flows from net product sales of GIMOTI, and net proceeds from the Offering will fund the Company’s operations for the next 12 months.
