Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

(d) On July 6, 2011, SuccessFactors, Inc. (the "Company") provided The Nasdaq Global Select Market ("Nasdaq") written notice of the Company's intention to delist its common stock from Nasdaq. The Company expects that its common stock will begin trading on the New York Stock Exchange under its current symbol "SFSF" on July 19, 2011. The Company's common stock will continue to trade on Nasdaq until the transfer is completed. The Company also expects to list its common stock on NYSE Euronext Paris and the Frankfurt Stock Exchange.
