The Report on Form 10-Q for the period ended March 31, 2011 could not be filed without unreasonable effort or expense within the prescribed period due to the pending merger transaction with Eternal Energy Corp. and related disclosure requirements.  As a result, our internal accounting staff and outside independent auditors required additional time to conclude their preparation and review, respectively, of our financial statements and notes thereto for the current period.
