Item 5.03

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective as of May 28, 2018, the Board of Directors (the “Board”) of Daré Bioscience, Inc. (the “Company”) approved an amendment to the Second Amended and Restated By-laws of the Company (the “By-laws”) to expressly provide the Board with the sole discretion to determine that any meeting of the Company’s stockholders shall not be held at any physical location and may instead be held solely by means of remote communication as authorized by Section 211(a)(2) of the General Corporation Law of the State of Delaware.

The description above of the amendment to the By-laws does not purport to be complete and is qualified in its entirety by reference to the full text of the By-laws as-amended, a copy of which is attached as an exhibit to this report.
