Item 5.02(b)

George Apostolou has notified the company of his resignation from the board of directors effective September 30, 2020. Mr. Apostolou has served on our board of directors since 2007. He was essential in organizing the company and driving its success. However, due to the extraordinary challenges created by the COVID-19 virus, Mr. Apostolou has decided he must give attention to his other business ventures and is unable to give the necessary attention to HCI.  Mr. Apostolou has indicated he would be very interested in rejoining the board if and when the COVID-19 pandemic subsides and his other time commitments diminish.
