Item 5.02 Departure of Directors or Certain Officers
Eric Hoffman, a member of our board of directors, has resigned from the board effective December 27, 2024. Mr. Hoffman served on our board as a representative of Centerbridge Partners, L.P., a large private investment firm which, in 2021, invested $100 million into our subsidiary corporation, TypTap Insurance Group Inc. In January 2024, the company redeemed the $100 million of preferred shares held by Centerbridge in TypTap Insurance Group. Centerbridge no longer owns any interest in HCI or any of its subsidiaries. Hence, Mr. Hoffman has chosen to focus on other ventures. Mr. Hoffman’s resignation is not due to any disagreement with the board or management.
We wish to express thanks to Mr. Hoffman for his valuable contributions to HCI.
