Item 8.01    Other Events.

The Board of Directors of Diversified Restaurant Holdings, Inc. has authorized a new program to repurchase up to $1.0 million of the Company’s common stock from time to time in open market transactions at prevailing market prices or by other means in accordance with applicable regulations of the Securities and Exchange Commission. The Company has entered into a Rule 10b5-1 purchase plan with a broker to facilitate the repurchase program.
